By-Laws
ARTICLE I - PURPOSES
The Kankakee Municipal Band is organized by and
for the City of Kankakee, in the State of Illinois,
to provide musical concerts for the Greater Kankakee
Area during the summer months. The Kankakee
Municipal Band is also established to present an
opportunity for amateur and professional musicians
to use and advance their musical accomplishments.
ARTICLE II - MEMBERSHIP
SECTION 1. MEMBERSHIP QUALIFICATIONS - Men and
women shall be considered as candidates for
membership, irrespective of race, creed or national
origin. Members of the Kankakee Municipal Band shall
be chosen by the Executive Board of Directors.
SECTION 2. VOTING RIGHTS - Each member shall be
allowed to nominate candidates, run for position and
vote in Kankakee Municipal Band elections.
SECTION 3. TERMINATION OF MEMBERSHIP - A member’s
membership may be terminated by a majority vote of
the Executive Board of Directors and said member
shall be notified in writing. A person whose
membership is terminated may appeal the termination.
An Ad Hoc committee of members shall be appointed by
the Board to hear the appeal. If desired, the member
may appeal the decision of the Ad Hoc committee to
the General Membership. The Executive board of
Directors shall call a special meeting of the
General Membership to hear the appeal. The member
appealing termination shall not be allowed to vote
on the appeal. The decision of the General
Membership shall be considered final.
SECTION 4. RIGHTS TO PETITION - The right of any
participant to publicly criticize with impunity the
policies, decisions and management of the Kankakee
Municipal Band is guaranteed. Any member or group of
members has the right to propose bylaws, rules,
regulations, policies, and guidelines; changes
thereof or repeals thereof in written form and
submitted to the Executive Board of Directors. The
Executive Board of Directors must give a written
reply to the petitioning member or members within a
reasonable amount of time. This reply shall be
considered a final decision and disposition unless
so specified in the reply.
ARTICLE III - EXECUTIVE BOARD OF DIRECTORS
SECTION 1. GENERAL POWERS - The business of the
Kankakee Municipal Band shall be managed by its
Executive Board of Directors. The Executive Board of
Directors may institute policies and enact rules and
regulations which they deem necessary to uphold the
purpose of the Kankakee Municipal Band. No decisions
affecting the Kankakee Municipal Band shall be made
without the approval of a majority of the Executive
Board of Directors. The Executive Board of Directors
shall be responsible for selecting all performing
personnel for the Kankakee Municipal Band.
Performing personnel need not be members of the
Kankakee Municipal Band. The Executive Board of
Directors shall determine the duties and
compensation policies for performing personnel of
the Kankakee Municipal Band. The Executive Board of
Directors shall make available to members and other
personnel the policies of the Kankakee Municipal
Band.
SECTION 2. NUMBER,TENURE AND QUALIFICATIONS -
There shall be seven Directors on the Executive
Board, one of which shall automatically be the
Conductor. The remainder shall be members of the
Kankakee Municipal Band. The three Directors serving
as Officers - specifically the President,
Vice-President, and Secretary-Treasurer, shall serve
terms of two years’ duration. The Conductor shall
also serve a two-year term concurrent with the
Officers. The remaining three Directors shall each
serve one-year terms. There shall be no limit on the
number of terms a member may serve as Director of
Officer.
SECTION 3. MEETINGS - There shall be a minimum of
four meetings per year of the Executive Board of
Directors, the dates of which shall be designated
and called by the President. The minutes of these
meetings shall be made available upon request to any
member or members.
SECTION 4. QUORUM - Five out of seven Directors
shall constitute a quorum for transaction of
business at any meeting of the Executive Board of
Directors. The acts of the majority of the Directors
present at a meeting at which a quorum is fulfilled
shall be the acts of the Executive Board of
Directors.
SECTION 5. ELECTION OF DIRECTORS - Six of the
seven Directors shall be elected from the membership
of the Kankakee Municipal Band and the seventh
Director shall be the Conductor. The election of the
three Officers of the Executive board of Directors
shall take place during even-numbered years. The
Officers are: President, Vice-President and
Secretary-Treasurer. The election of the other three
Directors shall be held yearly. Elections shall be
during the final rehearsal of the Kankakee Municipal
Band’s regular season. Candidate nominations may be
made by any member of the Kankakee Municipal Band or
the member may declare his or her own nomination.
Only members may be nominated and elected to the
Executive Board of Directors. Elections will be
conducted by a secret ballot and two Directors, or
during even-numbered years two members appointed by
the President, will conduct the counting. A majority
vote of those voting shall be considered sufficient
for election; in the case of no clear majority when
more than two candidates are running, a second vote
shall be conducted between the two candidates
receiving the most votes. Terms for all Directors
and Officers shall begin in October of the year they
are elected.
SECTION 6. REMOVAL - Any Director or agent
appointed or elected by the Kankakee Municipal Band
or Executive Board of Directors may be removed by
the Executive Board of Directors whenever in its
judgment the best interests of the Kankakee
Municipal Band would be served thereby. Any Director
charged with cause for removal has the right to a
fair hearing before the Executive Board of
Directors.
SECTION 7. VACANCIES - Any vacancy on the
Executive Board of Directors due to resignation,
removal, or death shall be filled by appointment of
the Executive Board of Directors within thirty (30)
days of the vacancy. The successor shall complete
the remaining portion of the normal term.
SECTION 8. COMPENSATION - No Director shall
receive payment for duties and responsibilities
performed as a Director unless authorized by the
Executive Board of Directors.
SECTION 9. PRESIDENT - The president shall
preside over all meetings of the Kankakee Municipal
Band and its Executive Board of Directors; he shall
sign, with the Secretary-Treasurer, all checks,
contracts, and other instruments on behalf of the
Kankakee Municipal Band; and perform all acts and
duties usually required of an executive and
presiding officer.
SECTION 10. VICE PRESIDENT - The Vice President
shall perform such duties as from time to time may
be assigned to him by the President or by the
Executive Board of Directors. The Vice President
shall act in place of the President whenever the
latter is absent or unable to perform his duties.
SECTION 11. SECRETARY-TREASURER - The
Secretary-Treasurer shall keep the minutes of the
meetings of the Executive Board of Directors and be
responsible for all correspondence pertaining to the
Executive Board of Directors and the Kankakee
Municipal Band. The Secretary-Treasurer shall
countersign all contracts sanctioned and entered
into by the Executive Board of Directors, and have
custody of all contracts, leases, or other valuable
documents pertaining to the business of the Kankakee
Municipal Band. The Secretary-Treasurer shall
receive and disburse all funds, keep a full and
accurate account of all the financial transactions
of the Kankakee Municipal Band in books belonging to
the Kankakee Municipal Band, make a full report of
all matters and business pertaining to his office to
the Executive Board and the Kankakee Municipal Band
whenever required or requested, deposit all Moneys
of the Kankakee Municipal Band in their name and to
their credit, and in such depositories as may be
designated by the Executive Board of Directors. The
address for the Kankakee Municipal Band for mail,
correspondence and the like, shall be that of the
Secretary-Treasurer, unless designated otherwise by
the Executive Board of Directors.
SECTION 12. CONDUCTOR - The newly-elected
Executive Board of Directors shall be responsible
for hiring the Conductor of the Kankakee Municipal
Band and establishing the salary and
responsibilities of the Conductor. Should the
Conductor be unable to complete the two year term,
the Board of Directors shall hire a replacement to
fill out the term. The Conductor shall have the
right to expel anyone from practicing or performing
with the Kankakee Municipal Band. The expulsion may
be immediate and need not be in writing. Members
expelled may appeal to the Executive Board of
Directors. The ruling of the Executive Board of
Directors shall be considered final. Expulsion from
rehearsal or performance shall not affect the
membership status of a member.
SECTION 13. CONCERTS - The Executive Board of
Directors shall have the responsibility for
facilitating the preparations necessary for concert
performances by the Kankakee Municipal Band.
SECTION 14. COMMITTEES - Any committee may be
formed by either the Executive Board of Directors or
its President whenever they may deem the function of
a committee would facilitate the purposes of the
Kankakee Municipal Band.
ARTICLE IV - FINANCES
SECTION 1. BUDGET - The Executive Board of
Directors shall be responsible for preparing and
executing the fiscal budget. All expenditures
require the authorization of the Executive Board of
Directors; however, contracts made on behalf of the
Executive Board of Directors need only the signature
of the President and Secretary-Treasurer.
SECTION 2. EXPENDITURES - The Executive Board of
Directors shall authorize all expenditures for the
purpose of meeting operational and miscellaneous
expenses which carry out the expressed purposes of
the Kankakee Municipal Band.
ARTICLE V - AMENDMENTS
These Kankakee Municipal Band Bylaws may be
altered, amended, or repealed, and new Bylaws may be
adopted by a two-thirds vote of the total
membership.
